These Terms of Service ("Terms") govern your access to and use of the VPS hosting services and related products (the "Services") provided by NOVAVORTEXDIGITAL LTD ("we", "us", "our"). By creating an account or placing an order you agree to these Terms.
1. Services
We provide virtual private server (VPS) hosting and associated services described on our website. Service specifications (CPU, RAM, storage, bandwidth) are as listed in the order you confirm at checkout. We may improve, modify or discontinue features with reasonable notice where practical.
2. Account responsibilities
- You must provide accurate registration information and keep it up to date.
- You are responsible for the confidentiality of your credentials and for all activity on your account.
- You may not share access in a way that circumvents fair-use or seat-based pricing.
3. Payment & billing
- Prices are listed in EUR and exclude any applicable taxes unless stated otherwise.
- Billing cycles are monthly, quarterly or annual as selected at checkout. Annual prepayment equals 10 months (2 months free).
- Payment is currently processed manually via PayPal invoice. We email a payment link after order placement.
- Services renew automatically at the end of each cycle unless cancelled before renewal.
- If payment is not received within 7 days of due date we may suspend the Service. Services suspended for more than 14 days may be terminated and data permanently deleted.
4. Cancellation & refunds
You may cancel at any time from your client portal. Cancellation stops future renewals; you keep access until the end of the paid period. New VPS orders are covered by our 30-day money-back guarantee subject to our Refund Policy.
5. Suspension & termination
We may suspend or terminate Services that violate these Terms, our Acceptable Use Policy, applicable law, or that pose a risk to network integrity. We will use reasonable efforts to notify you before any suspension that is not safety- or law-related.
6. Acceptable use
Use of the Services is subject to our Acceptable Use Policy. Material breaches may result in immediate suspension without refund.
7. Service level
We target 99.9% monthly uptime as defined in our SLA, which sets out exclusions and service-credit remedies.
8. Disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of these Terms or the Services is limited to the fees you paid us for the Service giving rise to the claim during the 3 months preceding the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.
10. Indemnification
You agree to indemnify and hold us harmless from any claims arising out of your use of the Services in breach of these Terms or applicable law.
11. Governing law
These Terms are governed by the laws of United Kingdom, without regard to conflict-of-laws principles. Disputes shall be brought before the competent courts of United Kingdom.
12. Changes
We may update these Terms from time to time. Material changes will be communicated by email or in your client portal at least 14 days in advance.
